Terms of Service

1. Definitions

In these Terms of Service (“Terms”):

  • “Company”, “we”, “us”, or “our” means Vortex Access Systems Limited, a company registered in New Zealand.
  • “Friday” or “the Service” means the Friday web application, including all features, functionality, and content provided through it.
  • “User”, “you”, or “your” means any individual who has been granted access to the Service by the Company.
  • Vortex Marine means Vortex Marine Limited and its affiliated entities.
  • “User Content” means any tasks, comments, attachments, checklists, or other data you create or upload through the Service.

2. Acceptance of Terms

By signing into Friday, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. When we make material changes, we will update the version number and date above. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

3. Eligibility and Access

Friday is an invitation-only service. Access is restricted to individuals who have been authorised by Vortex Marine. You must have a valid Google account and an email address that has been approved by an administrator. The Company reserves the right to grant or revoke access at any time and for any reason, without prior notice.

4. User Accounts

You sign in to the Service using your Google account via OAuth. You are responsible for maintaining the security of your Google account and for all activities that occur under your account. You must not share your credentials or allow any other person to access the Service using your account.

5. Permitted Use

The Service is provided for the internal business purposes of Vortex Marine. You may use the Service only for task management, team collaboration, and other legitimate business activities as intended by the platform.

6. Acceptable Use Restrictions

You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable New Zealand law or regulation.
  • Attempt to gain unauthorised access to the Service, other user accounts, or any systems or networks connected to the Service.
  • Copy, modify, distribute, sell, or lease any part of the Service or its content.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools, bots, scrapers, or similar technology to access the Service.
  • Upload content that is malicious, harmful, defamatory, or that infringes the intellectual property rights of any third party.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to the software, source code, design, user interface, logos, trademarks, documentation, and all other materials, are owned by or licensed to Vortex Access Systems Limited. These rights are protected under the New Zealand Copyright Act 1994, the Trade Marks Act 2002, and applicable international intellectual property laws.

The Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for its intended purpose and in accordance with these Terms. This licence does not transfer any ownership rights to you.

No part of the Service may be reproduced, distributed, modified, or used to create derivative works without the prior written consent of Vortex Access Systems Limited.

8. User Content

User Content created within the Service (including tasks, comments, checklists, and attachments) is created in the course of your engagement with Vortex Marine and is owned by the Company. You grant the Company a perpetual, irrevocable, worldwide licence to use, store, modify, and display your User Content for any business purpose.

You are responsible for ensuring that any content you upload does not infringe the intellectual property rights of any third party or violate any applicable law.

9. Third-Party Services

The Service integrates with third-party services including Google Workspace (for authentication, calendar, email, and drive integration) and cloud hosting providers. Your use of these third-party services is subject to their respective terms and privacy policies. The Company is not responsible for the availability, accuracy, or practices of any third-party services.

10. Service Availability

We will make reasonable efforts to keep the Service available and operational. However, the Service is provided as an internal business tool and we do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

11. Disclaimer of Warranties

To the maximum extent permitted by New Zealand law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by New Zealand law, including the Fair Trading Act 1986:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Service.
  • The Company's total aggregate liability to you for all claims arising from or relating to the Service shall not exceed one hundred New Zealand dollars (NZ$100).
  • Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under New Zealand law, including liability under the Consumer Guarantees Act 1993 (to the extent it applies) or for fraud or wilful misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vortex Access Systems Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

14. Termination

The Company may suspend or terminate your access to the Service at any time, for any reason, and without prior notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand, sitting in Auckland.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vortex Access Systems Limited with respect to your use of the Service.
